Around 10PM on election night near The Standing Room, Officer Brunn reported that Chris Miller, a No on O supporter, led a chant with Measure O opponents yelling “F-ck the police”. Chief Papa took this information and demanded an apology from Chris Miller. Chris Miller told Chief Papa that the “F-ck the police” chant did not happen. Even though Chris Miller denied the accusation, Chief Papa wrote a strongly worded letter to the Chamber’s president threatening future cooperation with the chamber unless the Chamber takes action. The Chamber immediately removes Chris Miller from the board. See the Easy Reader report: http://www.easyreadernews.com/95070/hermosa-beach-police-chief-prompts-chamber-of- commerce-to-remove-board-member/ I have grave concerns about the rush to judgment and actions against a resident by the police department. When Chris Miller denied leading people in a “f-ck the police” chant, Chief Papa had 2 choices 1) Chalk it up to “he said she said” on a night when emotions ran high or 2) investigate what happened. She did neither. Given this is about “name calling” around a very emotional and political issue, it would have been prudent to just let the incident go. Especially since it was the Hermosa Beach Police Officers Association who started a rift in the community with their very visible support of Measure O in E&B’s advertising. They knew they were taking sides in a very unpopular measure. If they got complaints from residents who objected, so be it. They should have expected it. The other option would have been to do an investigation before taking action against Chris Miller. It would have been easy. There were MANY people and cameras present at The Standing Room election night party. In fact on a KTLA news report at 10:07PM, Measure O opponents are clearly shown chanting “No on O”. The people are happy, children are present, and nothing profane is being said. Chris Miller can even be seen casually walking with her camera at the end of the video. The “No on O” chanting actually began because of the TV cameras. She can’t even see the complaint made against her. Then in the April 14th city council meeting, Chief Papa stated that they are now investigating that this may, in fact, have been a false police report. Why is there an investigation AFTER the damage has been done to Chris Miller and and not before? Chief Papa said she had no reason NOT to believe her officer. But actually she did have reason. Chris Miller’s account of the night was different than what Officer Brunn reported. That opens up the possibility that Officer Brunn was mistaken, lying or another office lied to Officer Brunn. This is not the first time that Officer Brunn has been accused of lying and escalating a situation. According to a 2010 Daily Breeze article, Hermosa Beach agreed to pay a former LAPD officer 175K to settle a complaint against Officer Brunn and others. See Article: http://www.dailybreeze.com/general- news/20100224/hermosa-to-pay-former-lapd-officer-175k-settlement Last week I was discussing the situation with some of the No on O people who where in the KTLA video, and they said they had yet to be contacted by anybody doing any investigation. I’d like to see the following: 1. Chief Papa publically apologize to Chris Miller and the accused “No on O” supporters 2. Immediate release of all police records around this incident 3. Strict disciplinary action against the police officer(s) who lied, including the option of terminating their employment. There is no room in Hermosa Beach for any abuse of police power. Our residents and visitors should not have to fear the police. The city should enforce the highest ethical standards in our police force. Sincerely, Claudia Berman Hermosa Beach resident 5/7/14 City Manager Update: Election Night Investigation On April 28th, the City of Hermosa Beach announced its commencement of an investigation led by the City Manager and Assistant to the City Manager of an incident between Hermosa Beach Police Department Staff and a member of the Hermosa Beach Community, which took place on the evening of March 3, 2015 in front of the Standing Room on Hermosa Avenue. The City has engaged Donna Evans, a Redondo Beach attorney who specializes in allegations of workplace misconduct, to assist with the investigation Video of the incident received from neighboring businesses is available on DVD for review upon request to the City. As the investigation is still open, other public requests for internal records and evidence have been denied as they are a part of the ongoing investigation. Concerned residents seeking additional information in regards to the incident should contact Diane Strickfaden, Assistant to the City Manager at dstrickfaden@hermosabch.org, who will update the community who have submitted letters of concern to the City with the final decision pending the investigation’s conclusion. Regarding: The need for the Council to immediately provide the City Clerk with the resources and Council's desired direction that the meeting-minutes of both the Council and Planning Commission be contracted-out, much as accomplished by the City of Redondo Beach. Mayor, Councilmembers, and others: The following are my comments, given freely, and they are entirely my views and opinions on everything I've stated herein. This consent item needs to be pulled (please do) by the Council such that specific questions and needs of the City Clerk may be clarified on the record. There should be no cop-out by Council or the City Manager, that Elaine is elected, and that you have no jurisdiction over the City Clerk's operations and financial needs. The fact is that you are not receiving meeting-minutes for a 40+ million-dollar annual city operation. What other respectable/honorable California city operates without meeting-minutes? Does the city need to have the State Attorney General's office or Auditor get involved to find out what is going on in this city with respect to such important basic record keeping and transparency? You can't just claim the Granicus videos are available. That's useless without minutes. I cannot find a Granicus-using city that doesn't maintain detailed meeting-minutes. This lack of minutes has now become a standing joke in the community with people claiming, "Oh, Elaine is like the '3rd-rail' and Social Security (referring to the high- voltage 3rd-rail of eastern electric-commuter-railroads). You can't touch her". There is too much back fence talk going on and the entire blame belongs not necessarily with the elected Clerk's office and Elaine, but in fact more with the City Council's troika- majority, and their "could not care less" attitude, not-to-mention Council's no-bid Supplemental Communication from H. You control the purse-strings! Not Elaine. Clearly the Council and the City Manager have thrown everything but the proverbial kitchen-sink at the City Clerk's office to, in fact, bog-down the Clerk's office with all kinds of duties having little to nothing to do with records keeping. The Council needs to get its own house in order and get back to basics of paving the streets, making safe sidewalks for children, and making sure the basic functions of the city such as meeting-minutes are kept up to date. A good way to start on this track is to stop hiring consultants ad nauseam to scam your own residents and businesses, i.e. the outrageously-bogus (tax on an already existing tax) sewer-fee scam you're pulling off right now, vis-a-vie one of your over-paid wasted-tax-money consultants to so- completely scam Prop 218. The City Clerk's included staff-report for Consent Item 2-a regarding the ongoing absence of City Council meeting-minutes states the following. Note: I've hi-lighted in red the significant sentence; however Elaine unfortunately failed to indicate precisely how she is planning to resolve the problem without Council's assistance. Honorable Mayor and Members of the Hermosa Beach City Council Regular Meeting of May 12, 2015 MEMORANDUM REGARDING CITY COUNCIL MINUTES (City Clerk Elaine Doerfling) Recommended Action: It is recommended that the City Council received and file this memorandum. Summary: Due to the continuing heavy workload in the City Clerk's office, we have no City Council minutes in The ongoing (and ever-growing) final form to present for approval at the May 12, 2015 meeting. backlog is a major concern, and bringing the minutes up to date as quickly as possible is a priority that I look forward to resolving in the very near future. Submitted by: Elaine Doerfling, City Clerk Concur: Tom Bakaly, City Manager The fact is, and it should be more than obvious to all concerned, that as of the date of this regular council meeting, May 12, 2015, council meeting-minutes are now over eleven months in arrears. The last meeting-minutes presented to Council for approval were for the May 28, 2014 adjourned regular meeting (a Joint Meeting with HBCSD Board of Education). The brief 3 pages of those minutes were presented for approval at Council's April 28, 2015 meeting and may be viewed by using the following link. Note that these minutes were not even presented in direct searchable-text form PDF but instead in all but Supplemental Communication from H. Longacre to Consent Item 2-a of the May 12, 2015 Hermosa Beach City Council Agenda Page 3 of 4 useless scanned image form. Printing computer text on paper and then unnecessary re-scanning it to make useless, unsearchable PDF files was supposed to end with the new agenda database format. Elaine's job should only be to supervise the creation of minutes, not to be doing the mundane function of typing up minutes. There's absolutely no way in the world Elaine is going to catch up with the minutes. Again why is the elected City Clerk even doing the minutes? Right now the City Clerk's office is evidently costing the annual city budget at least 120 hours of labor a week. I don't know if there's been additional overtime to the 20 hours that Elaine's been/was receiving per week bringing her to full-time status too. The minutes are eleven months behind. For many years the deputy clerk did the minutes under Elaine's supervision and Elaine presented those minutes to Council for approval. Directly related to all this, I believe, is another little fact that in the last 12-months three engineers have left the Public Works Department; Two of them with professional P.E. rating, one being the director. I also note that two excellent planners have unfortunately and recently chosen to leave the Community Development Department. Now I hear essentially round-about talk, however all but confirmed rumors from community members intimate with city staff that a sixth significant employee in 12 months, a quasi-city-director/higher-up has announced as to be leaving too. Perhaps there are others I've forgotten. It seems odd that six (perhaps more) significant professional staff employees have left or perhaps been implicitly driven out in the last 12 months. Such should not just coincidentally happen in the so-called "best little beach city". The fact is that not only is the Council evidently quite dysfunctional because of the desires of Tucker, DiVirgilio, and Petty to run the city dictatorially for their downtown hotels and bars intensification interests, especially after the bully-mayorship of DiVirgilio and now especially the pathetic doddering-mayorship of Tucker (who so-unfortunately embarrassed all concerned with his botched-reading of a simple proclamation two meetings ago recognizing the 100-year anniversary of the horrible Armenian genocide), but also the new management style of Bakaly is itself evidently causing much grief in City Hall. And of course it goes without saying that the fact that Michael Jenkins is still being utilized for Council and staff's legal counsel tells everyone something is very wrong. He should have been gone years ago and he's still sitting there leading the city in a less-than-honorable wrong way. Supplemental Communication from H. The absence of Council meeting-minutes is not simply an issue with the elected City Clerk. It obviously runs much deeper. And the despicable way this sewer-fee revenue scam has been pulled off (by in my view with Pete Tucker and DiVirgilio driving the scam) so inequitably onto the city's residents and businesses backs, after collecting some $60 million via the Utility User's Tax (UUT) during the last 30 years, of which well over 50% was supposed to have been utilized to maintain the sewers (but very little ever was due to the pro-bars-councils, including Tucker and DiVirgilio, redirecting the money to subsidize policing costs of the bars district), points very clearly that there will be many running for Council this fall (perhaps useless-vote suckers too) with target number one and two being DiVirgilio and Tucker, should their egos be so bloated and patronized by their downtown buddies, as to think they deserve to be dictators for 4 more years. 12 years of Tucker and 8 years of DiVirgilio, and for that matter these last 2 years of the incredibly blabbering Petty (who needs to be recalled especially after knowingly participating in the Sewer Fee scam tax while being a purposefully-obstructionist in allowing joining a council majority to allow the voters to have a say on the TOT). All five on Council, but again primarily Tucker and DiVirgilio have clearly made a full-on mess of the City in the last two years. These two senior members need to assume most of the blame for the absence of meeting-minutes due to their cavalier self-centered ignorant sense of greatness and of believing they do so much good, as the dictators they are, that they could not possibly do any wrong. Their Sewer Fee Scam (tax on a tax), again, says it all about these two gentlemen. It will be good riddance to these two in November. Enough with Tucker's and DiVirgilio's combined 20 too-many years on Council. It's unfortunate that politicians in little tiny general law cities morph into such pathetic self-centered pompous dictators when they stay too long; Blinded by their ignorant sense of importance. The point to all this is that the Council needs to request clearly that City Clerk Elaine indicate precisely what resources she needs from Council to get a contractor onboard to do both the Council and Planning Commission minutes properly in the format she desires, in much the way that it's my understanding Redondo Beach has their minutes prepared, and to get the Council's minutes brought up to date ASAP. Pledge of Allegiance Roll Call Present: Commissioners: Laura Raymond, Robert Rosenfeld, Jani Lange, Jessica Guheen Senior Recreation Supervisor, Kelly Orta Recreation Coordinator, Lisa Nichols Approval of Minutes: February 3,, 2015 Motion was made by Commissioner Guheen to approve the Minutes of February 3, 2015. Public Comment Jeff Raedy and Adam Wald, Hermosa Beach residents and project directors for Leadership Hermosa’s Fit Fest, spoke on behalf of the event, which has turned into an urban challenge for participants to discover businesses within the City by completing fitness challenges. Hany Fangary, Hermosa Beach resident and City Council member, thanked Commission and City Staff for the Surfer’s Walk of Fame/Surf Fest. The event was great for the City and positive feedback was heard from many. Fangary also shared positive comments on the event held in the Community Theatre the night before the Surfer’s Walk of Fame/Surf Fest and the progress being made by Commission and City Staff on moving towards the goal of offering more diverse events in the Community Theatre. (Name Unknown), Hermosa Beach resident, commented on the increased use of Noble Park by dogs. There is a pet waste issue for Commission to address. The resident suggested referring to rules set by Redondo Beach and Manhattan Beach as the issue is not as apparent there. Commissioner Rosenfeld encouraged the resident to submit his proposal for solutions to the Commission. Hermosa Beach resident, Carol Prenter, replied that everyone cleans up after themselves and their dogs. Hermosa Beach is friendlier to dogs in their rules, which sets them apart from Redondo Beach and Manhattan Beach. (Name Unknown), another Hermosa Beach resident, agreed with Prenter. Tom Brodie, Hermosa Beach resident, discussed the drainage established by the City and asked it be considered whether or not a toxic exposure study be done to see if the pollutant that ends on the beach is of danger. Correspondence Public Hearing A.) Request for Additional Beach Volleyball Courts Attachments: See Agenda Orta presented the Staff Report. Commissioner Guheen asked if the focus is to come up with a recommendation to City Council based on the application received. If so, it’s hard to reach a recommendation without discussing policy or events. Orta responded that this request should be looked at independently from the other issues the subcommittee will discuss. Commissioner Guheen asked that now that the subcommittee exists, what could be done if an idea formed after a recommendation has been made on the item in front of Commission now. Commissioner Raymond replied the subcommittee could report back to the rest of the Commission. Commissioner Rosenfeld added that the Commission could allocate some volleyball courts and if the subcommittee finds it to be a bad idea, they could be removed. Commissioner Guheen asked what the process is to add volleyball courts. Orta responded the first step is to complete the application, City Staff then surveys the proposed area and returns at the next scheduled Parks, Recreation and Community Resources meeting to hold a public hearing. This policy was adopted in 1983 and despite the fact that discussions have been made of policy changes, nothing has been adopted since. Commissioner Rosenfeld noted that Public Notices should include City letterhead and an e-mail for correspondence. Those in support of additional beach volleyball courts: Mark Polloway, Hermosa Beach resident, suggested adding permanent courts to the South Side of the Pier instead of the other residential areas. The events bring visitors to Hermosa Beach and they need to be considered first in policy changes so they are not displaced. Chris Brown, Hermosa Beach resident and president of the California Beach Volleyball Association, requested further insight on the requirement from event producers to build 6 temporary courts on the South Side of the Pier or save 6 on the North Side of the Pier for recreational play only. This has not been a positive requirement and suggests the Commission reevaluate it. Giacomo Giordano, Hermosa Beach resident, stated that volleyball supports the three components in the City’s Strategic Planning Tool. Kirn Heshelman, Hermosa Beach resident, shared that the courts will increase revenue for the City because it increases the City’s overall visitors. John Loran, Hermosa Beach resident, stated that the volleyball courts are only available during the afternoon and not the morning, the optimal time for beach volleyball play. Due to this, he has chosen to play in Manhattan Beach. As a result, he supports businesses in the Manhattan Beach area. Jon Nier, Torrance resident, shared a similar experience to John Loran with finding available volleyball courts. Clay Cooper, Torrance resident, noted that beach volleyball is a positive influence on the city and encourages sportsmanship between competitive and recreational players. Gordon Simon, Hermosa Beach resident, volunteered to help the applicant put up and maintain the proposed courts. Louis Morales, Hermosa Beach resident, is in favor of additional volleyball courts because he knows of the positive effects that playing beach volleyball has on the youth. Moreover, he noted several individuals that have received scholarships as a result of their beach volleyball experience. Ray Dussault, Hermosa Beach resident, noted that tournaments have displaced resident volleyball players that can only play on the weekends. As a result, he mentioned that some resident volleyball applicants have felt entitled to the courts they have been held responsible for. Accordingly, Ray is in support for additional volleyball courts and vowed to make these courts public to all. Other Hermosa Beach residents in support of additional beach volleyball courts: Calen Lopata, Miguel Cruz, (Name Unknown), Jerome Fraillon, David Smith, (Name Unknown), (Name Unknown), Bill Sigler, Justin Caldenbach, Jeremy Abrahamson, Stacy Howard, Jonpaul Roepke, (Name Unknown), (Name Unknown), Joe Cart, Samuel Mather, Dave Fulton & Suni Keeling Those opposed to additional beach volleyball courts: Kent Allen, Hermosa Beach resident, notices many unused courts and sees much of the beach already taken up by volleyball courts since there are currently 71. It is also recommended to remove Budweiser signage from the nets. Bonnie Cohn, Hermosa Beach resident, supported saving the free, natural space on the beach. Additional courts may impact other forms of recreational play. Yvonne Bernard, Hermosa Beach resident, shared that there are existing courts in violation of the Code. Barbara Payne, Hermosa Beach resident, agreed with Cohn on the importance of open space on the beach for recreational play, especially for the children. Tom Brodie, Hermosa Beach resident, stated the discussion needs scientific background such as who uses the courts and when. If the volleyball courts bring more visitors to the City, a parking plan needs to be in place. Public safety is an issue that needs to be looked at as well. The courts should be further from the strand to avoid danger with the traffic on the strand, which increases when events take place. Mark Bonfigli, Hermosa Beach resident, shared support for expanding other recreational sports. Another option is to install adjustable nets so they are dual use for children’s sports and beach tennis. Matt Catrall, Hermosa Beach resident, commended Mark Polloway and Chris Brown, supporters of the additional volleyball courts, because of their willingness to compromise. Thus, he was in support to expand the volleyball courts but only in the commercial area of Hermosa Beach on busy weekends with temporary courts. In doing so, this would alleviate maintenance of the extra courts during the slow seasons and allow for tenants to park in the residential area. Michael Fisher, Hermosa Beach resident, was in favor of conducting scientific research on the positive/negative effects of adding more courts to Hermosa Beach. Nick Vanderwey, Hermosa Beach resident, petitioned that we keep the different areas of the beach different. Peter Biche, Hermosa Beach resident, questioned whether the tenants or the city would be responsible for the maintenance of the proposed additional volleyball courts. Additionally, he examined the proposed area for the additional courts and found that although they would fit, the minimal distance between the courts would conflict with each other as volleyballs would roll onto other courts if spiked or jump served. Lastly, he noted that the expansion of the volleyball courts between the swings and current volleyball courts would impact the entry access for families pulling wagons and the area for children to play. Rob Cole, Hermosa Beach resident, proposed that we continue with the scientific research after all the current volleyball courts are made functional. Frank Waldes, Hermosa Beach resident, questioned the staff in charge of this ordinance and their interest in maintaining public safety. Other Hermosa Beach residents opposed to additional beach volleyball courts: Toni Pizer, Carol Fleischer, Dan Arguelles, Marty McSorley, Sandy Saemann, Dennis Dinneen, Chris Karkenny, Barbara Gilden, Linda Biche, Linda Cohen, (Name Unknown), Bob Lef & Lauren Pizer. Commissioner Guheen asked staff for clarification on whether the courts would be maintained by the applicant and if the courts would be for recreational use only. Orta responded yes. Commissioner Rosenfeld brought up the courts in disrepair and the importance of getting those repaired first. Commissioner Raymond and Commissioner Lange agreed. Commissioner Guheen responded the issue is that they are individuals who are accountable for maintenance of those courts. Commissioner Rosenfeld and Commissioner Raymond made clear the courts are public and do not belong to anyone, so there is no issue with repairing them. Commissioner Rosenfeld asked that Staff and the subcommittee report at the next scheduled meeting the total number of courts in disrepair and their location(s). Commissioner Guheen stated there is room in the commercial zone to add additional courts by adjusting how they are currently positioned, specifically on the South Side. Commissioner Raymond agreed. Commissioner Lange asked if any type of study on volleyball court utilization had been done. Orta responded that this type of study would be difficult for Staff with its current resources. Commissioner Rosenfeld added that morning through afternoon hours on Saturdays and Sundays would be the time to research. Commissioner Raymond shared it is a mistake to say a study cannot be done, when there are so many stakeholders involved. Commissioner Rosenfeld asked how the temporary solution has been, requiring event producers to build 6 temporary courts on the South Side of the Pier or save 6 on the North Side of the Pier for recreational play. Orta responded the solution has been difficult for event producers, as most events use all courts on the north side and the temporary courts have been found unfavorable by recreational players. Commissioner Lange and Commissioner Guheen suggested discussing each location one by one, focusing on the 7 courts recommended in the Staff Report. Commission agreed that the following court locations noted in the Staff Report are considerable: D.) One (1) court west of the existing court just south of 2nd Street K.) One (1) court west of existing court just north of 27th Street L.) One (1) court west of existing court just north of 31st Street The following court locations remain questionable due to the fact they already have an existing volleyball footprint: I.) Two (2) courts running westward just north of 23rd Street N.) Two (2) courts running westward just north of 34th Street The Commission agreed the subcommittee set a list of priorities such as to first look at the courts in disrepair, look at the commercial zone and the ability to add additional courts in that location, then look at the seven additional courts discussed. Commissioner Raymond added that the schedule of volleyball tournaments needs to be included on the subcommittee’s list of priorities. Commissioner Guheen asked Staff for more information on the tournaments such as their history with Hermosa Beach, whether they are youth or adult tournaments, how many are held per year, etc. Commissioner Raymond added one way to address the tournaments is by determining what type of tournaments the City wants. Commissioner Lange agreed that creating an events profile is necessary. Commissioner Guheen asked Staff to create and maintain a running list of ideas received outside of what Commission has heard. Dave Fulton, Hermosa Beach resident and applicant for the additional volleyball courts, shared that to his knowledge only two courts are in disrepair. Many that seem to be in disrepair are not since those who maintain certain courts are taking down nets frequently. B.) 2015 Special Event Applications Attachments: See Agenda Orta presented the Staff Report. Commissioner Raymond asked that Staff provide Commission with the criteria used to approve events with less than 500 in attendance. Karena Hodgson, event producer of Tone It Up Workout and Meet and Greet, provided background on her event, which will provide a 30-45 minute workout followed with a book signing and meet and greet with Karena and her partner, founders of Tone It Up. USAV event producers discussed their tournament, which are mid-week and weekend low-impact events. The event producers are prepared to set-up the six portable nets on the South Side for the recreational players, if necessary. Motion by Commissioner Raymond to approve the Rat Beach Bike Tour and postpone approval of the LA Brain Tumor Walk to the next scheduled meeting. Commissioner Lange seconded the motion. All Ayes. Matters for Commission Consideration A.) Creation of a Special Event Subcommittee Orta presented the Staff Report. Commissioner Guheen and Commissioner Lange expressed interested in joining the subcommittee. Commissioner Guheen suggested the Special Event Subcommittee be the same as the Beach Volleyball Subcommittee as both must be considered when making policy recommendations. Commissioner Rosenfeld and Commissioner Raymond agreed. Commissioner Raymond asked that when subcommittees are formed, adequate staff support is provided so the subcommittee can achieve its mission. Commissioner Guheen asked if the recommendation was for the subcommittees to be standing committees under the Brown Act or temporary advisory committees not under the Brown Act. Orta replied the recommendation is to create a committee of just Commissioners who seek the guidance and support of the stakeholders, so a temporary advisory committee. If stakeholders are to vote, it would have to be under the Brown Act regulations. Motion by Commissioner Raymond to create a temporary advisory committee to address special events and volleyball and nominate Commissioner Lange and Commissioner Guheen to serve. The Surf Legends Memorial Blue Ribbon Task Force was formed in 2010 to assist with the development of this project, incorporating visual ascetics into the memorial celebrating the City of Hermosa Beach’s long and historic surfing heritage. Over the years, the project scope has evolved to include a memorial that will include a statue set on top of a water feature, surrounded by an ocean friendly garden using only drought tolerant plants. Immediately surrounding the fountain and statue, the garden will emulate a coral reef. The other portion of the garden will emulate waves surrounding the coral reef effect. The water feature includes a mild bubble effect in order to reduce the evaporation rate. Reclaimed (recycled) water will be used for the water feature and will be recirculated and filtered. These two garden elements will replace approximately 3,000 square feet of high water demand turf area. The City Council has been updated as to the progress of the project throughout the duration of the design phase. On October 28, 2014, the City Council awarded a Professional Services Agreement to Nuvis Landscape Architecture and Planning to provide the construction documents, plans and specifications for this project based on the recommendations from the Surf Legends Memorial Blue Ribbon Task Force. Analysis: The City of Hermosa Beach and the West Basin Water District (West Basin) are interested in entering into an agreement for an Ocean-Friendly Garden Demonstration Project in conjunction with CIP 10-661 Surf Legends Memorial Project. This agreement allows for the reimbursement of design and construction costs for the irrigation and landscaping portion of the Surf Legends Memorial Project up to $40,000. This agreement was recommended for approval at the West Basin’s Regular Board Meeting held on January 26, 2015. The City elected to be responsible for the design of the landscaping and irrigation with the intention of meeting the conditions set forth in the agreement with West Basin (Attachment 1) and the criteria set forth in the Ocean -Friendly Demonstration Garden Program Guidelines. West Basin and Surfrider Foundation participated in the landscape and irrigation design, and approved the landscape and irrigation plans as of April 8, 2015. Also, staff is taking advantage of the available SoCal Water$mart Turf Removal Program which provides a $2.00 per square foot rebate for every square foot of turf removed provided the turf is replaced with water efficient landscaping. Approximately 3,000 square feet of turf that will be removed will be replaced with water efficient landscaping will be included as part of the project, providing a $6,000 rebate from the Water$mart Turf Removal Program. Reimbursement is contingent upon completion of the project. The $40,000 grant from the West Basin Water District, along with an estimated $6,000 from the turf removal program, will be included in the overall budget for the Surf Legends Memorial project upon Council approval. The City is the recipient of a generous gift for the creation of this memorial from the Joseph S. Melchione Trust. On November 5, 2014, funding was approved by Council for the project in the form of a Memorandum of Understanding (MOU) between the City of Hermosa Beach and the Joseph S. Melchione Trust, for a maximum trust amount of $329,825 to be used toward the development and construction of the Surf Legends Memorial. Funds from the trust, in the amount of $127,570, have already been encumbered and expended for various professional services, fabrication efforts toward the development of the Dewey Webber sculpture, the purchase of dedication bricks, and other miscellaneous items. The remaining balance of the Melchione Trust is $202,255. In addition, a recent donation of $4,500 was received from Spyder Surfboards toward this project. The $40,000 grant from the West Basin Water District, the estimated $6,000 in turf removal rebates, the $4,500 Spyder Surfboard donation, and the Joseph S. On April 9th and 16th, 2015, this project was advertised for formal competitive bidding. Bids were advertised in the Easy Reader and the bid documents were sent to five (5) plan rooms. Plans and specifications were available for downloading at the City’s Website and hard copies were made available at the front counter of the Public Works Department. Seven bids were received by the City Clerk by the closing date of April 28, 2015. Bid packages were publicly opened and read aloud by the Deputy City Clerk on the closing date with the following results: Company Bid Amount Concept Consultant $304,576.55 Palp dba Excel Paving $316,820.25 Green Giant Landscape $325,000.00 Astra Builders $350,000.00 California Waters $394,866.00 Unispec $421,840.00 KASA Construction $426,825.00 Staff recommends awarding the project to Concept Consultant, Inc. (Concept Consultant). The bid proposal submitted by Concept Consultant is in order and in conformance with the bid documents. Staff has verified with the Contractors State License Board that Concept Consultant’s contractor’s license is current and active. References contacted by City staff have verified work performed by Concept Consultant and found their work to be satisfactory. Staff finds that this contractor is qualified to complete the proposed work for the project. Construction for this project is expected to commence toward the end of May 2015 and be completed by August 2015. Section 3.2 of the Joseph S. Melchione Trust Memorandum of Understanding (MOU) requires that if the amount of the low bid exceeds the gift from the trust, the City must either make up this difference in funding or reject all the bids and redesign the memorial without a water feature. The total design and construction of the project, including the creation of the statue, will exceed the amount of the Melchione gift and the funds provided by brick dedication sales, the West Basin grant, and turf removal rebate. However, staff recommends accepting the bid and constructing the Surf Legends Memorial with the water feature. This requires that the City fund the difference of $82,279 (refer to the fiscal impacts section of this report). The attached resolution certifies the City’s review of the plans and specifications, which is a prerequisite for a later assertion of design immunity in the event of lawsuit by someone injured by a supposed dangerous condition of the improvement. The resolution also establishes the allocated funds toward the project as the sole source of funds available for compensation to the contractor. Fiscal Implications: Staff recommends adding a 10% contingency to the $304,576.55 bid amount received from Concept Consultant for the construction of this project. Therefore, the total requested construction budget will be $335,034. All Rights Reserved Ocean Friendly Gardens Yard Sign Criteria An Ocean Friendly Garden (OFG) is a garden that applies CPR - Conservation, Permeability, and Retention - to revive the health of our watersheds and oceans Conserving the use of water, fertilizers, pesticides and herbicides reduces the amount of pollutants and water running off a landscape and dramatically helps restore and protect our local waterways and the ocean. Removing turf grass areas as much as possible, and replacing them with native plants or other climate-adapted choices establishes habitat for many species and makes the garden "come alive." Finally, the proper selection of plants and design reduces maintenance and eliminates the need for equipment that contributes to air pollution. Permeability within a landscape allows it to hold more of its water and nutrients. This mixture of water and nutrients is healthy in a garden but can accumulate and deplete oxygen in our streams and ocean - killing precious marine life. Permeable walkways and other permeable "hardscape" as well as "living soil" greatly improve a garden' permeability. Retaining rainwater in your garden mimics natural processes. Retention/infiltration areas help restore a garden's natural water resource and replenish groundwater aquifers, which directly benefits the communities that rely on groundwater. These devices are important at capturing the first inch of rainfall after a dry spell - the event called "First Flush" that carries the most pollutants to our ocean. Approximately 600 gallons of water is generated per inch of rain per 1,000 sq. ft. of impermeable surface. The steps of rainwater retention are to take water otherwise running off your property and: "slow it, spread it and sink it." An OFG Sign will be awarded to any garden that achieves the following criteria: CONSERVATION Turf Areas 1. Climate-appropriate turf grass is limited to 20% of total square footage of the landscaped area. A. Turf grass is limited to only those areas where it serves a specific purpose (documented play area). B. Turf grass is maintained organically without synthetic fertilizers and never over-watered. C. Turf grass is kept away from the perimeter of the garden, where irrigation overspray is hard to control. 2. Cool season turf grass is not present in front yard gardens in areas receiving less than an average 44 inches of annual rainfall. 3. Warm season turf grass, if present, is not over-seeded with cool season grass during winter months. Irrigation 1. No automatic irrigation is utilized OR 2. Irrigation system is in good repair (no breaks or leaks) with no visible signs from stains on nearby hard surfaces or erosion on vegetated surfaces from repeated overspray or runoff. (See maintenance details below) 3. No spray irrigation of any kind is installed in areas less than 10 feet wide OR a total surface area of less than 100 square feet. 4. Drip irrigation is ½ inch diameter tubing or larger -- utilizing either line source ("in-line") OR point source emitters ("on line"). A. No 1/4" diameter irrigation tubing is present, except where needed for irrigating containers and raised beds. (See irrigation details below) 5. Hoses have shut-off attachments. 6. A minimum of 2 inches to 4 inches of natural woodchip mulch is present in all planted and open areas. 2. 50% or more of the woodchip mulch must be smaller than 1 inch in length or diameter. 3. Small open mulch-free areas are permitted if they are designated for native bee or insect habitat. Plants 1. Plants are grouped according to plant community or hydrozones including: A. Similar sunlight exposure, water requirements, root depth, soil type, hardiness and temperature adaptation, and/or size at maturity. 2. New gardens are planted with sufficient space between plants to accommodate mature growth without over-crowding, and to minimize pruning at maturity. 3. Plants requiring regular shearing are not permitted, unless they are edible or produce edible fruit. 4. Plant material is 80% climate-appropriate unless it is edible or produces edible fruit. (Climate- appropriate plant material is defined as plant material with a Species Factor or Crop Co-efficient of 50% or less or is described by reliable local references as a "medium" water-using plant in the particular climate. In California, use www.water.ca.gov/wateruseefficiency/docs/ for Species Factors.) 5. Local native plant material is utilized for at least 10% of the visible garden area, whether or not the other plant material is edible or produces edible fruit. 6. No invasive species are present. Invasive species are defined as those listed on the local Invasive Plant Council website as invasive or on the "watch list". (General information at: http://plants.usda.gov/java/noxiousDriver, and in California http://www.cal-ipc.org.) Water Features 1. Water features may improve the habitat attractiveness of the garden and are allowed within these guidelines: A. Water is recycled by the water feature. B. Open water features are covered at least 50% by vegetation, C. All water features are maintained without chemicals or additives that are toxic to fish. D. Overflow from the water feature drains into a vegetated area. 2. Swimming pools and chemically treated water bodies are drained to sewer systems. 3. Swimming pools must be covered to minimize evaporation when not in use. PERMEABILITY Healthy Living Soil 1. Soil health is maintained organically without chemical additives. 2. Soil health is maintained by the addition of compost, compost tea, and worm castings. 3. Soil is not visible beneath a mulch layer, EXCEPT A. Areas 4 inches to 12 inches around the crown of woody plants should remain un-mulched, and B. Areas 12 inches to 60 inches around the trunks of trees should remain un-mulched. C. These un-mulched areas should be minimized, but depend upon the size of the tree or plant crown. Permeable Hardscape 1. Walkways and patios are made permeable with A. Plants, mulch or decomposed granite in gaps between pavers or other hard surfaces; OR B. Construction materials that permit water to "flow-through" -- such as permeable concrete or asphalt. 2. Impermeable surfaces or minimally permeable surfaces, such as permeable pavers or decomposed granite, are graded to direct excess surface flow of water into adjacent vegetated areas. 3. If gutters are installed, all visible downspouts are directed away from impermeable surfaces into vegetated areas, mulched areas or retention/detention devices. A. Rain chains and other devices to slow the fall of water are recommended as a replacement for downspouts. 2. If gutters are not installed, surfaces beneath the roof eaves are EITHER A. Vegetated with hearty plants that can withstand the beating; OR B. Covered with mulch, gravel or other sturdy and permeable materials, AND C. Hardscape surfaces beneath roof eaves are altered to create areas of permeability and direct surface flow of rainwater into vegetated or mulched areas or retention/detention devices. 3. Drains carrying roof runoff or surface drain runoff from back yards or areas not visible to the street are EITHER A. Directed into rainbarrels or cisterns at the downspouts to slow and reduce the flow of water into the drainage system, OR B. Disconnected from their overflow to the street and re-directed into a vegetated or mulched area. Sponge Gardens 1. The visible garden area has been designed to capture as much of the rainfall from rooftops and other impermeable surfaces as possible. 2. The flat areas on the property have been replaced with high and low contoured areas ("graded retention areas") to prevent rainfall from "sheeting" across the garden and off the property - helping to retain the first 1" of rainwater after a dry spell: AND/OR 3. A dry creek bed or vegetated swale ("bioswale") captures the majority of the surface flow of downspout water and water from adjacent hard surfaces, creating sufficient area to slow, spread and sink it. A. Dry creek beds or vegetated swales are designed to hold at least 1" of rain from roof and adjacent hard surfaces, AND B. Rainfall in excess of 1" or the water-holding capacity of the garden, whichever is greater, is safely directed off-site after having been run through vegetated areas, including bioswales and creek beds, to remove pollutants and retain sediment. 4. At least one tree or very large shrub has been planted at its proper distance from hard surfaces and buildings to help naturally store water for the entire garden. Retention Devices 1. Rainbarrels or above-ground cisterns are visible and are A. Installed properly in accordance with any prevailing local building standards or codes, B. Secured for safety purposes, and C. Overflow into vegetated or mulched areas, AND/OR 2. Below surface retention areas and devices such as dry wells or cisterns are utilized to do the same. Maintenance Details 1. Valve assemblies are installed properly and in permeable areas (preferably surrounded by mulch or gravel). 2. Irrigation shut-off valves are easily identified. 3. Separate irrigation valves are utilized for each hydrozone (see "hydrozone" description in 4a below). 4. Back-flow prevention and pressure regulation is visible in or at the valve assembly. Irrigation Details 1. Spray irrigation is matched precipitation, "multi-stream, multi-trajectory." 2. Spray irrigation requires anti-drain check valves to prevent low head drainage. 3. (hereinafter referred to as "CONTRACTOR") and the City of Hermosa Beach, California, a municipal corporation (hereinafter referred to as "CITY"). R E C I T A L S A. Pursuant to the Notice Inviting Sealed Bids for CIP 10-661 Surf Legends Memorial Project, bids were received, publicly opened, and declared on the date specified in the notice; and B. On May 12, 2015, City’s City Council declared CONTRACTOR to be the lowest responsible bidder and accepted the bid of CONTRACTOR; and C. The City Council has authorized the Mayor to execute a written contract with CONTRACTOR for furnishing labor, equipment and material for the 10-661 Surf Legends Memorial Project in the City of Hermosa Beach. NOW, THEREFORE, in consideration of the foregoing and the mutual covenants herein contained, it is agreed: 1.GENERAL SCOPE OF WORK: CITY agrees to engage CONTRACTOR and CONTRACTOR agrees to furnish all necessary labor, tools, materials, appliances, and equipment for and do the work for the 10-661 Surf Legends Memorial Project in the City of Hermosa Beach. The work shall be performed in accordance with the Plans and Specifications dated April 9, 2015 (the “Specifications”) on file in the office of the City Clerk and in accordance with bid prices set forth in CONTRACTOR’S Bid Proposal and in accordance with the instructions of the City Engineer. 2.INCORPORATED DOCUMENTS TO BE CONSIDERED COMPLEMENTARY: The contract documents for the aforesaid project shall consist of the Notice Inviting Bids, Instructions to Bidders, Bid Proposal, Builders General Provisions, Standard Specifications, Special Provisions, Exhibit A and Exhibit B, and all referenced specifications, details, standard drawings, and appendices; together with this Agreement and all required bonds, insurance certificates, permits, notices and affidavits; and also, including any and all addenda or supplemental agreements clarifying, amending, or extending the work contemplated as may be required to insure its completion in an acceptable manner. All of the provisions of said contract documents are made a part hereof as though fully set forth herein. This contract is intended to require a complete and finished piece of work and anything necessary to complete the work properly and in accordance with the law and lawful governmental regulations shall be performed by CONTRACTOR whether set out specifically in the contract or not. Should it be ascertained that any inconsistency exists between the aforesaid documents and this written agreement, the provisions of this Agreement, the Builders General Provisions and the Standard Specifications, in that order, shall control. Collectively, these contract documents constitute the complete agreement between CITY and CONTRACTOR and supersede any previous agreements or understandings. 3.COMPENSATION: CONTRACTOR agrees to receive and accept the prices set forth in its Bid Proposal as full compensation for furnishing all materials, performing all work, and fulfilling all obligations hereunder. Said compensation shall cover all expenses, losses, damages, and consequences arising out of the nature of the work during its progress or prior to its acceptance including those for well and faithfully completing the work and the whole thereof in the manner and time specified in the aforesaid contract CITY OF HERMOSA BEACH CONSTRUCTION AGREEMENT Page 2 of 8 documents; and also including those arising from actions of the elements, unforeseendifficulties or obstructions encountered in the prosecution of the work, suspension or discontinuance of the work, and all other unknowns or risks of any description connected with the work. 4.TIME OF PERFORMANCE: CONTRACTOR agrees to complete the work within 70 working days from the date of the notice to proceed. By signing this Agreement, CONTRACTOR represents to CITY that the contract time is reasonable for completion of the work and that CONTRACTOR will complete such work within the contract time. 5.PREVAILING WAGES. A.Pursuant to Labor Code § 1720, and as specified in 8 California Code of Regulations § 16000, CONTRACTOR must pay its workers prevailing wages. It is CONTRACTOR’s responsibility to interpret and implement any prevailing wage requirements and CONTRACTOR agrees to pay any penalty or civil damages resulting from a violation of the prevailing wage laws. B.In accordance with Labor Code § 1773.2, copies of the prevailing rate of per diem wages are available upon request from CITY’s Engineering Division or the website for State of California Prevailing wage determination at http://www.dir.ca.gov/DLSR/PWD. CONTRACTOR must post a copy of the prevailing rate of per diem wages at the job site. C.CITY directs CONTRACTOR’s attention to Labor Code §§ 1777.5, 1777.6 and 3098 concerning the employment of apprentices by CONTRACTOR or any subcontractor. D.Labor Code § 1777.5 requires CONTRACTOR or subcontractor employing tradesmen in any apprenticeship occupation to apply to the joint apprenticeship committee nearest the site of the public works project and which administers the apprenticeship program in that trade for a certificate of approval. The certificate must also fix the ratio of apprentices to journeymen that will be used in the performance of the contract. The ratio of apprentices to journeymen in such cases will not be less than one to five except: i.When employment in the area of coverage by the joint apprenticeship committee has exceeded an average of 15 percent in the 90 days before the request for certificate, or ii.When the number of apprentices in training in the area exceeds a ratio of one to five, or iii.When the trade can show that it is replacing at least 1/30 of its membership through apprenticeship training on an annual basis state-wide or locally, or CITY OF HERMOSA BEACH CONSTRUCTION AGREEMENT Page 3 of 8 iv.When CONTRACTOR provides evidence that CONTRACTOR employs registered apprentices on all of his contracts on an annual average of not less than one apprentice to eight journeymen. v.CONTRACTOR is required to make contributions to funds established for the administration of apprenticeship programs if CONTRACTOR employs registered apprentices or journeymen in any apprenticeable trade on such contracts and if other contractors on the public works site are making such contributions. vi.CONTRACTOR and any subcontractor must comply with Labor Code §§ 1777.5 and 1777.6 in the employment of apprentices. vii.Information relative to apprenticeship standards, wage schedules and other requirements may be obtained from the Director of Industrial Relations, ex-officio the Administrator of Apprenticeship, San Francisco, California, or from the Division of Apprenticeship Standards and its branch offices. E.CONTRACTOR and its subcontractors must keep an accurate certified payroll records showing the name, occupation, and the actual per diem wages paid to each worker employed in connection with this Agreement. The record will be kept open at all reasonable hours to the inspection of the body awarding the contract and to the Division of Labor Law Enforcement. If requested by CITY, CONTRACTOR must provide copies of the records at its cost. 6.LEGAL HOURS OF WORK: Eight (8) hours of labor shall constitute a legal day's work for all workmen employed in the execution of this contract, and CONTRACTOR and any subcontractor under it shall comply with and be governed by the laws of the State of California having to do with working hours set forth in Division 2, Part 7, Chapter 1, Article 3 of the Labor Code of the State of California as amended. CONTRACTOR shall forfeit, as a penalty to City, twenty-five dollars ($25.00) for each laborer, workman or mechanic employed in the execution of the contract, by him or any subcontractor under it, upon any of the work hereinbefore mentioned, for each calendar day during which the laborer, worker or mechanic is required or permitted to labor more than eight (8) hours in violation of the Labor Code. 7.TRAVEL AND SUBSISTENCE PAY: CONTRACTOR agrees to pay travel and subsistence pay to each worker needed to execute the work required by this Agreement as such travel and subsistence payments are defined in the applicable collective bargaining agreements filed in accordance with Labor Code Section 1773.8. 8.CONTRACTOR'S LIABILITY: The City of Hermosa Beach and its officers, agents and employees ("Indemnitees") shall not be answerable or accountable in any manner for any loss or damage that may happen to the work or any part thereof, or for any of the materials or other things used or employed in performing the work; or for injury or damage to any person or persons, either workers or employees of CONTRACTOR, of its subcontractors or the public, or for damage to adjoining or other property from any cause whatsoever arising out of or in connection with the performance of the work. CITY OF HERMOSA BEACH CONSTRUCTION AGREEMENT Page 4 of 8 CONTRACTOR shall be responsible for any damage or injury to any person or property resulting from defects or obstructions or from any cause whatsoever. CONTRACTOR will indemnify Indemnities against and will hold and save Indemnitees harmless from any and all actions, claims, damages to persons or property, penalties, obligations or liabilities that may be asserted or claimed by any person, firm, entity, corporation, political subdivision, or other organization arising out of or in connection with the work, operation, or activities of CONTRACTOR, its agents, employees, subcontractors or invitees provided for herein, whether or not there is concurrent passive negligence on the part of City. In connection therewith: a.CONTRACTOR will defend any action or actions filed in connection with any such claims, damages, penalties, obligations or liabilities and will pay all costs and expenses, including attorneys' fees, expert fees and costs incurred in connection therewith. b.CONTRACTOR will promptly pay any judgment rendered against CONTRACTOR or Indemnitees covering such claims, damages, penalties, obligations and liabilities arising out of or in connection with such work, operations or activities of CONTRACTOR hereunder, and CONTRACTOR agrees to save and hold the Indemnitees harmless therefrom. c.In the event Indemnitees are made a party to any action or proceeding filed or prosecuted against CONTRACTOR for damages or other claims arising out of or in connection with the work, operation or activities hereunder, CONTRACTOR agrees to pay to Indemnitees and any all costs and expenses incurred by Indemnitees in such action or proceeding together with reasonable attorneys' fees. Contractor's obligations under this section apply regardless of whether or not such claim, charge, damage, demand, action, proceeding, loss, stop notice, cost, expense, judgment, civil fine or penalty, or liability was caused in part or contributed to by an Indemnitee. However, without affecting the rights of City under any provision of this agreement, Contractor shall not be required to indemnify and hold harmless City for liability attributable to the active negligence of City, provided such active negligence is determined by agreement between the parties or by the findings of a court of competent jurisdiction. In instances where City is shown to have been actively negligent and where City active negligence accounts for only a percentage of the liability involved, the obligation of Contractor will be for that entire portion or percentage of liability not attributable to the active negligence of City. So much of the money due to CONTRACTOR under and by virtue of the contract as shall be considered necessary by City may be retained by City until disposition has been made of such actions or claims for damages as aforesaid. It is expressly understood and agreed that the foregoing provisions are intended to be as broad and inclusive as is permitted by the law of the State of California. This CITY OF HERMOSA BEACH CONSTRUCTION AGREEMENT Page 5 of 8 indemnity provision shall survive the termination of the Agreement and is in addition to any other rights or remedies which Indemnitees may have under the law. This indemnity is effective without reference to the existence or applicability of any insurance coverage which may have been required under this Agreement or any additional insured endorsements which may extend to Indemnitees. CONTRACTOR, on behalf of itself and all parties claiming under or through it, hereby waives all rights of subrogation and contribution against the Indemnitees, while acting within the scope of their duties, from all claims, losses and liabilities arising our of or incident to activities or operations performed by or on behalf of the CONTRACTOR regardless of any prior, concurrent, or subsequent passive negligence by the Indemnitees. 9.THIRD PARTY CLAIMS. In accordance with Public Contracts Code § 9201, CITY will promptly inform CONTRACTOR regarding third-party claims against CONTRACTOR, but in no event later than ten (10) business days after CITY receives such claims. Such notification will be in writing and forwarded in accordance with the “Notice” section of this Agreement. As more specifically detailed in the contract documents, CONTRACTOR agrees to indemnify and defend the City against any third-party claim. 10.WORKERS COMPENSATION: In accordance with California Labor Code Sections 1860 and 3700, CONTRACTOR and each of its subcontractors will be required to secure the payment of compensation to its employees. In accordance with the provisions of California Labor Code Section 1861, CONTRACTOR, by signing this contract, certifies as follows: "I am aware of the provisions of Section 3700 of the Labor Code which require every employer to be insured against liability for worker's compensation or to undertake self-insurance in accordance with the provisions of that code, and I will comply with such provisions before commencing the performance of the work of this contract. 11.INSURANCE: With respect to performance of work under this contract, CONTRACTOR shall maintain and shall require all of its subcontractors to maintain insurance as required in the Builders General Provisions. 12.ASSIGNMENT: This contract is not assignable nor the performance of either party's duties delegable without the prior written consent of the other party. Any attempted or purported assignment or delegation of any of the rights of obligations of either party without the prior written consent of the other shall be void and of no force and effect. 13.INDEPENDENT CONTRACTOR: CONTRACTOR is and shall at all times remain as to the CITY, a wholly independent contractor. Neither the CITY nor any of its agents shall have control of the conduct of CONTRACTOR or any of CONTRACTOR'S employees, except as herein set forth. CONTRACTOR shall not at any time or in any manner represent that it or any of its agents or employees are in any manner agents or employees of CITY. CITY OF HERMOSA BEACH CONSTRUCTION AGREEMENT Page 6 of 8 14.TAXES: CONTRACTOR is responsible for paying all retail sales and use, transportation, export, import, special or other taxes and duties applicable to, and assessable against any work, materials, equipment, services, processes and operations incidental to or involved in this contract. CONTRACTOR is responsible for ascertaining and arranging to pay them. The prices established in the contract shall include compensation for any taxes CONTRACTOR is required to pay by laws and regulations in effect at the bid opening date. 15.LICENSES: CONTRACTOR represents and warrants to CITY that it has all licenses, permits, qualifications, insurance, and approvals of whatsoever nature which are legally required of CONTRACTOR to practice its profession. CONTRACTOR represents and warrants to CITY that CONTRACTOR shall, at its sole cost and expense, keep in effect or obtain at all times during the term of this Agreement any licenses, permits, insurance, and approvals which are legally required of CONTRACTOR to practice its profession. CONTRACTOR shall maintain a City of Hermosa Beach business license, if required under CITY ordinance. 16.RECORDS: CONTRACTOR shall maintain accounts and records, including personnel, property, and financial records, adequate to identify and account for all costs pertaining to this Agreement and such other records as may be deemed necessary by CITY or any authorized representative, and will be retained for three years after the expiration of this Agreement. All such records shall be made available for inspection or audit by CITY at any time during regular business hours. 17.SEVERABILITY. If any portion of these contract documents are declared by a court of competent jurisdiction to be invalid or unenforceable, then such portion will be deemed modified to the extent necessary in the opinion of the court to render such portion enforceable and, as so modified, such portion and the balance of this Agreement will continue in full force and effect. 18.WHOLE AGREEMENT: This Agreement supersedes any and all other agreements either oral or written, between the parties and contains all of the covenants and agreements between the parties pertaining to the work of improvements described herein. Each party to this contract acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein, and that any other agreement, statements or promise not contained in this contract shall not be valid or binding. Any modifications of this contract will be effective only if signed by the party to be charged. 17.AUTHORITY: CONTRACTOR affirms that the signatures, titles, and seals set forth hereinafter in execution of this Agreement represent all individuals, firm members, partners, joint ventures, and/or corporate officers having a principal interest herein. Each party warrants that the individuals who have signed this Agreement have the legal power, right, and authority to make this Agreement and to bind each respective party. This Agreement may be modified by written amendment. CITY’s city manager may execute any such amendment on CITY’s behalf. 18.NOTICES: All notices permitted or required under this Agreement shall be in writing, and shall be deemed made when delivered to the applicable party’s representative as provided in this Agreement. Additionally, such notices may be given to the respective parties at the following addresses, or at such other addresses as the parties may provide in writing for this purpose. Disputes arising from this contract will be determined in accordance with the contract documents and Public Contracts Code §§ 10240-10240.13. 20 NON-DISCRIMINATION: No discrimination shall be made in the employment of persons in the work contemplated by this Agreement because of race, religion, color, medical condition, sex, sexual orientation and/or gender identity, national origin, political affiliation or opinion, or pregnancy or pregnancy-related condition. A violation of this section exposes CONTRACTOR to the penalties provided for in Labor Code Section 1735. 21 NO THIRD PARTY BENEFICIARY. This Contract and every provision herein is for the exclusive benefit of the Contractor and the City and not for the benefit of any other party. There will be no incidental or other beneficiaries of any of the Contractor’s or the City’s obligations under this Contract. 22 TIME IS OF ESSENCE. Background: At its meeting of November 13, 2014, the City Council adopted Resolution No. 14-6926, calling the March 3, 2015 Special Municipal Election for Measure O. That resolution also specified the (typical) stipend received by precinct board members who serve on Election Day - $100 for each inspector and $80 for each clerk, with an additional $25 for attending the training class (all of which the City has paid). Anticipating a higher voter turnout than at previous elections, a five-member precinct board (rather than the more typical four-member board), comprised of one inspector and four clerks (all Hermosa residents), was appointed to each of the five precincts. (Due to illness, one of the 20 appointed clerks was unable to serve on Election Day.) A typical election is busy early morning, during lunchtime, and late afternoon until polls close, allowing occasional breaks and the ability to keep up with required paperwork. Our March 3 election was unusual because voter lines (formed before the polls opened) continued non-stop throughout the entire day with a steady stream of at-poll voters and a high volume of provisional ballots. Those who volunteer as poll-workers do so to serve their communities. The stipend paid by cities and counties is not intended to compensate them for all the time and effort they devote to the election process. The firm was able to offer an opinion within a very short timeframe that the issue would be tax exempt regardless of the financing structure used. Municipal finance is the firm’s exclusive practice/specialty, and the experience and number of bond issues undertaken by the firm is second to none. Staff recommends using Stradling Yocca Carlson & Rauth as bond counsel on the sewer financing. Stradling was bond counsel on all of the City’s undergrounding district bond issues and on the private activity bond for the parking facilities at the Von’s Shopping Center. Stradling knows the City well and has done similar work in Manhattan Beach. The experience and number of bond issues undertaken by the firm is also impressive. Stradling’s fee for this service is slightly less than the others. NHA Advisors offered a creative hybrid strategy of lease revenue bonds and judgement obligation bonds which would allow the city to meet the timetable desired for the issue but with exit strategy for the need pledge an asset for a long period of time. Using NHA Advisors (NHA) for both bond issues has the added advantage of having one firm assisting the city with presentations to the ratings agencies on both issues. Mark Northcross from NHA was the city’s financial advisor when the city purchased the greenbelt back in the 90’s and has been the financial advisor on all of the City’s undergrounding districts. The experience and number of bond issues undertaken by the firm is impressive. A summary of fees from the firms for bond counsel and financial advisor is attached. Kosmont Realty Corporation (“Kosmont") was recently hired as the City's Financial Advisor to evaluate alternative approaches to financing the oil settlement agreement and to educate the City Council on the various available options. In the process we were successful in obtaining a tax exempt opinion from a leading law firm, which will save the City millions of dollars in interest costs. Despite this, Staff is now making a recommendation for the City Council to switch firms and approve retaining an out of area firm (all other firms considered by City Staff are Bay area based) that is less familiar with the oil settlement, in addition to being more expensive. Staff’s recommendation is perplexing. Kosmont is local and for nearly two years prior, worked on the Measure O Cost Benefit Analysis (CBA) which included reviewing all aspects of the lease settlement agreements. Kosmont has participated and presented in nearly a dozen community discussions and meetings, studied numerous oil documents, leases and volumes of additional technical data, and then reported thoroughly and objectively (in the CBA) on the economics of the oil issue, so that the citizens and City Council could make an informed decision and self-determine on the matter of oil. As such we are in an unparalleled and superior position to prepare and present the best credit package to any credit rating agency as well as the capital marketplace and then respond swiftly and comprehensively to questions that are likely to surface during the financing process. More precisely, these are our issues with the Staff’s process and recommendation: 1) The process was flawed, not transparent and inexplicably was deliberately kept away from the City Council. Sepulveda Blvd., # 382, Manhattan Beach , CA 90266 ph 213.417.3300 fx 213-417.3311 www.kosmontrealty.com Within the context of Hermosa Beach’s generally transparent approach to matters, we found the City’s Financial Advisor Request to be a bit odd in terms of how the City Council has expressed its preference for doing business, in that the RFQ issued by Staff includes the following provision: “The City requests that you do not contact any City Councilmembers until you are notified of staff's recommendation. The City reserves the right to disqualify any firm that makes such unauthorized contacts during this process.” Until this point the entire Measure O debate had been transparent, including all prior consultant selection processes. The City Council should be proud of that. Why did senior City Staff change this approach for the financial advisor selection process for the same Measure O related issue? Why was the City Council excluded from the RFQ evaluation process? Coincidentally, during the middle of the RFQ period, one of the Hermosa Beach City Councilmembers sent our firm an unsolicited letter on City letterhead that stated among other things: “My unyielding thanks to you and your team for the extraordinary effort put forth in preparing the City of Hermosa Beach, and it’s residents, to best understand the financial dynamics of the E&B project. Thanks to you, we were not only able to complete our settlement commitment with integrity but your work also helped us treat residents as full-fledged decision makers. Simply put, I could not be more pleased. On a personal note, I enjoyed working with you and look forward to doing so again”. Due to the RFP’s strict requirements of no City Council contact we promptly disclosed to the City Manager that the letter was received (unexpectedly). Out of concern that any communication with the City Council would result in our being eliminated from the process, we still have not thanked the Councilmember for the unsolicited and complimentary letter. 2) The results of the selection process are not rational. The fee price bid by Kosmont is substantially less than the others. According to the information on the City's website, Kosmont's [bid price/fee quote] is $35,000 for a combined Sewer and Oil financing, whereas the recommended firm's quote is $32,000 for the Sewer and $40,000 for the Oil financing for a total of $73,000. That makes Kosmont's proposed fees over 50% lower than the recommended firm. City of Hermosa Beach May 11, 2015 Page 3 of 4 1601 N. Beyond our technical expertise, we have a proven track record with the City of Hermosa Beach having worked two years developing and producing the detailed Cost Benefit Analysis of the oil measure, the very issue of which settlement must now be financed. Beyond our extensive oil settlement experience, we have successfully financed sewer and water improvements for multiple communities. One of our recently completed utility financing projects was just selected (on April 22, 2015) as the Economic Development of the Project Year by the California Association for Local Economic Development (CALED). Beyond price and qualifications please consider the following: As to transparency, for Hermosa Beach, over the past two months Kosmont produced the initial evaluation on the financing alternatives for the settlement including several public “Bond 101” presentations to the City Council and community, all of which were recognized as objective and well received. Even more disconcerting, during these initial months of working as the City's Financial Advisor, staff admonished us not to focus on tax-exempt alternatives for the financing because they believed it was not likely possible. However, based on our extensive experience and expertise with leases, we continued to research the tax-exempt concept and successfully secured a tax-exempt opinion from one of the largest law firms in the country specializing in tax-exempt bond issues. Our success ultimately motivated Staff to get the same opinion from another reputable law firm, which in our view would not have happened but for KRC’s foresight and diligence. This achievement alone will save the city $1.5 to $2.0 million dollars and essentially pays for our services, and in fact the costs of the entire financing process. This is illustrative of the type of service and effort the City will get from Kosmont on each and every issue we address during the financing process. We do not wish to disrespect City Staff in any way, but it is hard for us to understand why the team that had the foresight, perseverance and gumption to deliver this exceptional solution would not be recommended by the City Staff to continue working on the assignment. Every council member advised Staff on March 24 that s/he preferred the "tax exempt option", an option that Kosmont delivered. Kosmont also offered several alternatives to the technical structuring, one of which is identical to the so-called "creative hybrid strategy" mentioned in the staff report. This can be seen in the way we structured our fee proposal, with our fees for a combined issuance with a General Fund backing being less than that of the City of Hermosa Beach May 11, 2015 Page 4 of 4 1601 N. City Staff repeatedly asked for us to find ways to propose certain approaches (specifically, a "line of credit") that we believe are not authorized to be issued by local agencies in California. Despite this obstacle, and to our credit, we in fact were able to devise possible structured options that could function as a line of credit, but it would have been costly and difficult to implement, thus we could not, in good faith, recommend it as a viable alternative due to its expense. Kosmont remains interested in assisting Hermosa Beach: Overall, Hermosa Beach is in a preferential position in terms of the upcoming financing, due to our efforts to date. Despite being slightly discouraged and very mystified by Staff’s recommendation to the City Council, we recognize that equitable judgment is not always achieved in the initial round of a selection process. We respect Staff's professional opinion and take no umbrage with it, other than to say that we continue to believe that we are the best firm for the job. Despite Staff’s position, Kosmont prefers not to just walk away from Hermosa Beach and so we are communicating our observations with hope the City Council desires to stay with us and will vote to continue with our firm. If selected, KRC will continue to work as hard and diligently as we have in the past to deliver the best results for the City. A. Generally. Regular meetings of the city council shall be held in the council chamber of the City Hall, 1315 Valley Drive, in the city. B. Alternate Location. The alternate location for regular meetings of the city council shall be in the Hermosa Beach Community Center, 710 Pier Avenue, in the city, and said alternate location shall be used for such regular meetings only during such times as the city hall council chamber is not available and only after there shall have been posted at the entrance to the city hall council chamber a notice of meeting at the alternate location at least twenty-four (24) hours prior to the date and time for any regular council meeting. If, by reason of fire, flood, earthquake or other emergency, it shall be unsafe to meet in the places designated, the meetings may be held for the duration of the emergency in such place within the city as is designated by the presiding officer of the council. Such notice of an emergency alternative meeting site shall be posted at Hermosa Beach City Hall if practicable and notification given in a manner consistent with state law. A special meeting of the city council may be ordered at any time by the mayor, or by a majority of the members of the council, by delivering personally or by mail written notice to each member of the council at least twenty-four (24) hours before the time of such meeting as specified in the notice. Said notice shall specify the time and place of the meeting and business to be transacted, and no other business shall be considered at such meetings by the city council. Such written notice may be dispensed with as to any member who at or prior to the time the meeting convenes files with the city clerk a written waiver of notice. Such waiver may be given by telegram. Such written notice may also be dispensed with as to any member who is actually present at the meeting at the time it convenes. Such written notice shall be delivered personally or by mail at least twenty-four (24) hours before the time of such meeting as specified in the notice to each local newspaper of general circulation, radio or television station requesting notice in writing. (Prior code § 2-2.1) 2.04.040 Meetings open to public; Exceptions for closed sessions. All regular and special meetings of the City Council shall be public; provided, however, the City Council may hold closed sessions during a regular, adjourned or special meeting, from which the public may be excluded as may be permitted by law. (Ord. 11-1326 §1, Sept. 2011; Prior code § 2-2.2) 2.04.050 Study sessions. From time to time the council will meet in a study session at a time and place to be designated by the council. Such study sessions shall be noticed at the prior council meeting and will be open to the public and the press. Such study sessions shall be devoted to matters pertaining to which the interchange of information preliminary to a regular meeting is deemed to be essential. No official action or formal vote shall be taken at such study session on any matter under discussion; provided, however, that the councilmen in attendance shall be entitled to express their opinion on any matter under discussion. Background: The City Manager’s Employment Agreement provides for a base salary of $185,000.Prior to 2013, the City paid both the “employer portion”and the “employee portion”of every employee’s PERS retirement contribution.In December 2012,the City Council took action to require that all City employees covered by PERS pay the 7%employee portion of the PERS contribution in return for a commensurate 7%increase in salary (the “PERS offset”)to occur in three phases over a 1 ½year period.As a result,the City Manager’s salary has been increased in phases over that period by 7% to $198,252 to offset his obligation to pay his share of the PERS contribution. The City Council action is not reflected in a resolution as contemplated by Municipal Code section 2.12.050.On March 24,2015,Councilmember Fangary,supported by Councilmember Barragan, under Other Matters requested that an initial report be returned to the Council for consideration of a resolution fixing the City Manager’s salary consistent with the above action.A resolution responsive to this request is attached to this staff report for Council consideration.Alternatively,the Council may defer action until later this year when the Council considers whether to further modify the City Manager’s contract.
